1. Who we are and what these terms cover

Painel Blend (“we”, “us”) is a software-as-a-service (SaaS) product. These terms govern the use of the painelblend.com website, the distributor portal (conta.painelblend.com) and the white-label panels we provide (the “Service”).

By creating an account, joining the waitlist, taking part in the closed beta or using the Service in any way, you (the “account holder”, “you”) confirm that you have read and accept these terms and our Privacy Policy. If you use the Service on behalf of a company, you confirm you are authorized to accept them on its behalf.

2. What the Service is (and what it is not)

Painel Blend is management software. It helps businesses that sell subscriptions organize customers, plans, renewals, billing, reseller networks, credits, communication and reports under their own brand.

Painel Blend does not provide, host, stream or license audiovisual content of any kind (channels, movies, series or otherwise). We also do not provide content servers or access to third-party services. Any servers, apps or content you connect to the panel are your own choice and your own responsibility.

3. You are responsible for what you sell

You are solely responsible for the products, services and content you sell through the panel, including:

• holding every license, authorization and right required (including copyright and broadcasting rights) for what you offer your customers;
• complying with applicable law, such as consumer protection, tax rules and data protection law (including Brazil’s LGPD) regarding your end customers;
• your commercial relationship with your customers and resellers: pricing, billing, support, refunds and warranties.

You agree to hold Painel Blend harmless from any claim, fine, lawsuit or loss arising from what you sell or distribute, including defense costs and any damages awarded.

4. Acceptable use

You may not use the Service to:

• distribute, promote or facilitate access to content without the rights holders’ authorization, or otherwise infringe intellectual property;
• carry out illegal activity, fraud, money laundering or unsolicited bulk messaging (spam);
• store or send unlawful or discriminatory content, content that exploits minors or that violates third-party rights;
• attempt to breach, overload, reverse engineer or bypass the security of the Service;
• resell access to the software outside the official programs described in these terms.

If we receive a well-founded notice of infringement or identify prohibited use, we may suspend or terminate the account, remove related data and cooperate with authorities, without prejudice to other remedies.

5. Account and security

You must provide accurate information and keep it up to date. You are responsible for safeguarding your passwords, API tokens and two-factor codes, and for everything done with your access and with any access you create for your team and resellers. We recommend enabling two-factor authentication (2FA). Notify us immediately of any unauthorized use.

6. Credits, plans and prices

• On the base plan, 1 credit = 1 panel for 1 month. Other plans or packages may have their own rules, shown at the time of purchase.
• Credits are consumed when a panel is activated or renewed and are non-refundable and cannot be exchanged for cash, except where the law requires otherwise (for example, the 7-day withdrawal right under the Brazilian Consumer Code, when applicable and the credits have not been used).
• Prices shown on the website, including reference values for distributors (such as price per credit and resale ranges), are references and may change. Changes do not affect credits already paid for.
• Applicable taxes may be charged as required by law.

7. Distributor and reseller program

Distributors buy credits wholesale and resell panels under their own brand, setting their own prices. By joining, a distributor:

• acts independently, in its own name, with no partnership, employment or agency relationship with Painel Blend;
• is responsible for support, billing and tax obligations toward its own customers and sub-distributors;
• must pass on to its customers rules consistent with these terms, especially the acceptable use rules;
• is answerable to Painel Blend for the acts of its sub-distributor network.

Reference resale prices are suggestions only; we do not guarantee profit or business results. We may change the program’s conditions with reasonable prior notice.

8. Payments

Payments may be made via Pix and partner payment gateways. Payment data is processed by those providers under their own terms. When you connect your own gateway account (for example, to collect customer renewals or distributor sales), funds go directly to your account, and that account’s fees, chargebacks and disputes are your responsibility. Pix orders may expire if not paid within the period shown.

9. Non-payment and suspension

If a subscription, membership fee or invoice is not paid when due, you will have a grace period shown in the panel or on the invoice. After that, access may be suspended until payment is made. If non-payment continues, the account may be closed and data deleted as described in the Privacy Policy. Whenever possible, we will notify you and give you a chance to export your data before deletion.

10. Availability and support

We work to keep the Service stable, with backups and monitoring, but it is provided “as is”. There is no service level agreement (SLA) unless contracted in writing. Interruptions may occur for maintenance, updates or third-party failures (hosting, payment providers, WhatsApp, servers you connect). The panel evolves frequently: features may be added, changed or discontinued, and artificial intelligence features are released progressively.

11. Beta and closed test program

Joining the waitlist or the closed beta does not guarantee access or future conditions. During the beta:

• the Service may have bugs, instability and changes without notice;
• features may be limited, removed or become paid;
• test data may be reset, so do not rely solely on the beta environment for critical data;
• we may end the beta or your access at any time;
• your feedback may be used freely to improve the product, with no obligation to compensate you.

Special conditions offered to participants apply only for the period and in the manner communicated.

12. Intellectual property

The software, the Painel Blend brand, design and documentation belong to Painel Blend or its licensors. You receive a limited, non-exclusive, non-transferable license to use the Service while your account is active. Your brand, logos and data remain yours; you authorize us to use them only to provide the Service (for example, to display your brand on your white-label panel).

13. Data and privacy

Personal data is handled under our Privacy Policy. For your end customers’ data, you are the controller and we act as processor, handling it only on your instructions and to provide the Service.

14. Limitation of liability

To the fullest extent permitted by law:

• we are not liable for the content, services or products you sell, nor for third-party servers, apps and integrations;
• we are not liable for lost profits, lost revenue, lost customers or indirect damages;
• our total liability, for any cause, is limited to the amount you paid us in the 12 months before the event.

These limitations do not apply in cases of willful misconduct or where the law prohibits them.

15. Termination

You may close your account at any time through support. We may close or suspend accounts that breach these terms. After termination, unused credits are not refunded unless required by law, and data is handled as described in the Privacy Policy.

16. Changes to these terms

We may update these terms. Material changes will be announced in the panel, by e-mail or on this website with reasonable notice. Continued use after the effective date means you accept the new version.

17. Governing law and jurisdiction

These terms are governed by the laws of the Federative Republic of Brazil. In consumer relationships, disputes will be settled by the courts of the consumer’s domicile, under the Brazilian Consumer Protection Code; in all other cases, by the court with jurisdiction under Brazilian law.
